Terms and Conditions of Use

and disclaimer of liability

Version 2026-07-10

This English translation is provided for information only. The Spanish version is the legally binding one and shall prevail in the event of any discrepancy. Read the Spanish version

These Terms and Conditions govern access to and use of the La Llave platform by natural persons (hereinafter, the “User”).

1.Nature of the payment: success fee

The User acknowledges that the platform pays commissions only where an actual sale of the referred property is completed.

The payment is defined as a reward for commercial success and in no case as remuneration for information, accompaniment or surveillance services, which are tasks the User must perform free of charge if they are included in their employment contract under Article 36.3 of the collective agreement.

The absence of an actual sale does not give rise to any right to compensation whatsoever, which reinforces the independent, non-employment nature of the activity as a collaboration.

2.Employment compatibility and collective agreement

The User declares that their participation is compatible with their external obligations.

Where the User holds a full-dedication contract (Dedicación Plena), the User acknowledges that they must comply with the exclusive dedication required under Article 35.A.

Where the User holds a contract without full dedication (Sin Dedicación Plena), the User confirms that they are exercising their right to combine their duties with another paid activity in accordance with Articles 35.B and 35.D.

3.Prohibition of additional payments (Art. 37)

The User warrants that the commission received per sale does not breach the prohibition on receiving “emoluments” for the duties inherent to their post.

The User releases the platform from liability should the Owner of the building consider that such payment breaches the duties established in the collective agreement.

4.Confidentiality and duty of discretion

The User undertakes to observe the required discretion regarding the building and its residents.

The use of private information to generate a referral is considered serious misconduct under Article 39.B, and the User assumes full liability arising from any such breach.

5.Use of premises and accommodation

Managing the platform from the usual place of work (concierge's lodge or front desk) is prohibited.

The User acknowledges that the use of the porter's accommodation for commercial purposes unrelated to the building is their sole responsibility towards the owner, in accordance with Article 13.

6.Disclaimer of liability and indemnity

The platform shall not be liable for disciplinary sanctions, including suspension of pay or dismissals provided for in Article 40.

The User shall hold the platform harmless against claims by Owners' Associations (Comunidades de Propietarios) or Property Managers (Administradores de fincas) for alleged negligence or abandonment of surveillance (Art. 39.C).

7.Nature of the compensation model

The compensation received by the User arises exclusively from property transactions actually completed and never from the mere addition of new collaborators to the referral network.

For the purposes of these Terms, a “completed sale” means one in which a public deed or equivalent private contract has been signed and the price agreed between buyer and seller has been paid in full.

Where the same property or lead is referred by two or more Users, the first referral validly registered on the platform shall prevail. The User expressly waives any claim to commission for subsequent duplicate referrals.

8.User obligations, governing law and personal data

Taxation: The User is solely responsible for declaring the commissions received in their Personal Income Tax (Impuesto sobre la Renta de las Personas Físicas, IRPF / annual income tax return) and for complying with the obligation to register under the corresponding scheme (RETA, the Spanish special scheme for self-employed workers, or equivalent) when their activity becomes habitual or exceeds the legal thresholds applicable in their jurisdiction. The Operator, in its capacity as payer, may withhold from the commissions the IRPF withholding legally applicable and pay it to the Spanish Tax Agency (Agencia Tributaria) on the User's behalf, making the withholding certificate available to the User; this does not release the User from their obligation to declare such income.

Variable nature of commissions: commissions are variable and accrue solely per transaction actually closed. The figures shown on the platform (calculators, examples, “up to” amounts) are indicative estimates based on the transaction price and do not constitute an offer, guarantee or promise of income.

Accuracy: The User warrants that the data provided (their own and those of the properties or persons referred) are accurate, that they always act in their own name and that they have the consent required to share the data of the potential buyer.

Personal data: The data of the User and of leads are processed in order to manage registration, validate referrals and pay commissions, in accordance with the General Data Protection Regulation (GDPR/RGPD) and the Spanish Data Protection and Digital Rights Act (LOPDGDD). The User may exercise their rights of access, rectification, erasure, objection, restriction and portability by writing to the contact email address indicated at the foot of this document.

Governing law and jurisdiction: These Terms are governed by Spanish law. For any dispute, the parties submit to the Courts and Tribunals of Barcelona, unless mandatory law provides otherwise.

Amendments: The Operator may update these Terms. Material amendments will be notified with reasonable prior notice and identified by a new version; by continuing to use the platform after their entry into force, the User accepts the version in force.

9.Confidentiality and permitted use of platform data

The User acknowledges that the data they access through the platform — including the name and contact details of sourced owners, the address and cadastral reference of properties, asking prices, cadastral value, IBI (property tax), reports generated and commission amounts — constitute confidential and proprietary information of the Operator.

The User undertakes to use such information solely and exclusively for the purposes of their sourcing and follow-up activity within the platform. The following are expressly prohibited: assigning or selling these data to third parties (other estate agencies, private individuals, the press), contacting sourced owners outside the La Llave channel, using the data to source opportunities outside the referral model, or sharing screenshots, exports or documents from the dashboard with unauthorised persons.

This confidentiality obligation survives indefinitely, including after the termination of the User's relationship with the platform, and is without prejudice to the applicable personal data protection legislation (GDPR/LOPDGDD).

Breach of these obligations may result in the immediate suspension of the account, the forfeiture of accrued but unpaid commissions and, where applicable, the civil and criminal actions available for unfair competition, infringement of trade secrets (Ley 1/2019, the Spanish Trade Secrets Act) or breach of data protection legislation.
